As Deputy General Counsel, you will be responsible for managing the Boston Financial legal department, delivering a wide range of services in support of the LIHTC portfolio, and assisting in the implementation of new strategic initiatives. You will collaborate with stakeholders in multiple business groups across the organization and with ORIX Corporation USA's Legal & Compliance Team to support compliance matters, perform due diligence and other reviews, draft transaction documents, and assist in the administration of policies and procedures. You will also partner with external stakeholders and counsel as required.Essential Duties and Responsibilities Mentors and manages the Boston Financial legal department.Drafts, reviews, and maintains a wide range of due diligence, transaction, and other documents.Prepares and negotiates a variety of transactional documents reflecting changes to original investment terms and disposition of investments.Provides interpretation of investment documents.Provides assessments regarding LIHTC and various compliance, risk and liability matters.Assists with Boston Financial compliance activities.Evaluates internal practices and procedures affecting the Boston Financial Legal Department operations in order to identify opportunities to improve the same and leverage technology to gain efficiencies.Travel Requirements – 5%Education, Skills and Experience Completion of law school with a J.D. degree and admission to the bar in at least one jurisdiction in the United States.At least 10 years of large law firm experience representing national and regional developers and lenders of multifamily housing developments.Experienced understanding of equity investments in affordable housing developments and the federal and state tax credits associated with these developments.Strong strategic, analytical, and critical thinking skills; effective management and problem‑solving skills.Communication skills to effectively interact with internal and external stakeholders; excellent legal writing skills.A high degree of client focus with demonstrated ability to interact effectively with company personnel, outside counsel, and representatives of other companies and adversaries.Ability to identify and suggest ways to improve upon processes and methods.Proficiency in using Microsoft Office applications; ability to understand and leverage technology to create efficiencies and streamline processes.Strong organizational and time‑management skills, including the ability to manage multiple diverse projects concurrently and handle demanding responsibilities in a high‑volume environment.Annual Base Salary $280,000 – $320,000 (MA only). The base salary range represents the estimated low and high end of ORIX's salary for this position based on geography. Actual base salaries will vary and will be based on various factors, such as candidate's qualifications, skills, competencies and proficiency for the role.
