With over $3.0 billion total capital, SiriusPoint's operating companies have a financial strength rating of A from AM Best, Fitch and S&P, and A3 from Moody's.The Deputy General Counsel serves as a senior member of the Legal, Regulatory & Compliance leadership team and is responsible for leading the company's capital markets, strategic transactions, corporate legal affairs, corporate secretary and legal operations. This executive will act as a trusted advisor to the Chief Legal Officer, the Executive Leadership Team and members of senior management on a wide range of matters, including securities law compliance, public company reporting obligations, mergers and acquisitions, capital raising activities, investment, treasury and financing transactions, shareholder matters, strategic investments, and significant commercial arrangements. The ideal candidate combines strong technical expertise with sound business judgment and the ability to operate effectively in a fast-paced, publicly traded, highly regulated environment. This position reports to the Chief Legal Officer & Corporate Secretary.Your responsibilities will include:Lead legal support for all capital markets activities, including equity offerings, debt issuances, share repurchase programs, tender offers, and other capital management initiatives.Advise management and the Board regarding SEC, NYSE, and other securities law requirements.Support preparation and review of periodic and current reports, including Forms 10-K, 10-Q, 8-K, proxy statements, earnings-related disclosures, and investor communications.Advise on disclosure controls and procedures, insider trading compliance, Regulation FD matters, and Rule 10b5-1 plans.Support shareholder engagement, activist defense preparedness, and governance-related matters.Provide legal support for financing transactions, credit facilities, letters of credit, and other treasury initiatives.Lead legal execution of acquisitions, divestitures, joint ventures, strategic investments, reinsurance transactions, and other corporate development initiatives.Manage legal due diligence, transaction structuring, negotiation of definitive agreements, and post-closing integration activities.Coordinate external counsel across multiple jurisdictions and regulatory regimes.Advise on transaction-related governance approvals, disclosure obligations, and regulatory approvals.Partner with business leaders to identify legal and regulatory risks and develop practical solutions that support strategic objectives.Assist in evaluating and executing complex corporate reorganizations, legal entity simplification initiatives, and cross-border transactions.Oversee negotiation and documentation of significant commercial agreements.Advise on vendor agreements, technology contracts, professional services arrangements, group strategic partnerships, and other commercial transactions.Establish and maintain scalable contracting processes, templates, and approval frameworks.Balance legal risk management with business enablement and speed to execution.Partner with procurement, finance, operations, technology, and business leaders to support enterprise-wide contracting needs.Provide advice to executive leadership on corporate governance, fiduciary duties, strategic initiatives, and corporate policies.Support Board and committee materials related to capital markets, strategic transactions, and corporate actions.Help develop and maintain governance frameworks, delegations of authority, and approval processes.Lead and mentor attorneys and legal professionals across transactional and corporate legal disciplines.Manage relationships with external counsel, investment banks, financial advisors, and other service providers.Drive continuous improvement, technology adoption, and operational efficiencies within the legal function.Your skills and abilities should include:Juris Doctor (J.D.) from an accredited law school.Admission to practice law in at least one U.S. jurisdiction.15+ years of relevant legal experience, including significant experience at a nationally recognized law firm and/or public company legal department.Deep expertise in securities law, public company reporting, and corporate governance.Significant M&A and strategic transaction experience.Strong contract negotiation and drafting skills.Demonstrated ability to advise senior executives and boards of directors.Experience managing outside counsel and complex cross-functional projects.Experience supporting a NYSE- or NASDAQ-listed company.Insurance, reinsurance, financial services, or other highly regulated industry experience.Experience with international and cross-border transactions.Familiarity with Bermuda, UK, European, or multinational governance structures.Prior leadership experience managing legal teams.We aim to retain and attract great people, knowing they can achieve a rewarding and enriching career.
